Minimum Offering: $15,000,000

Minimum Investment: $100,000 (1 Note)

The Company is offering a minimum of 150 and a maximum of 300 Class A Promissory Notes at a price of $100,000 per Note. Upon completion of the Offering between 150 and 300 Promissory Notes will be issued. Notes will be payable and due at maturity in 2028 with yield interest of 10.0% per year paid quarterly.

Security: The Series A are Unsecured obligations of the Company.

As CEO & President of H&CO, Armando has provided the leadership to grow the Company from a local firm to a global provider of international professional services. Today, H&CO is one of the largest accounting and consulting firms in the country. He attributes the firm’s success to his great team and his simple strategy based on three pillars: Client-Centric, Best People, and Operational Excellence.

Armando holds a global MBA from Duke University as well as a Master of Taxation and a Bachelor of Accounting from Florida International University. He is licensed as a Certified Public Accountant and certified as a Trust and Estate Practitioner. He has received numerous awards and recognitions over the years, including being named a Power Leader by the South Florida Business Journal from 2017 to 2022 and listed one of the Top 10 Public Accounting Professionals in Florida. In 2016, H&CO received the prestigious Ponce de Leon Excellence Award presented by the Spain-United States Chamber of Commerce.

As a founding partner, Guillermo has played a vital role in the growth and progression of the firm. His 25 years of tax planning and consulting experience have allowed him to develop the firm’s quality control procedures, identify opportunities that will assist clients in achieving their business goals, and lead the firm towards success. Guillermo is also a Certified Public Accountant and a member of the AICPA.

Operations & Recruitment

As Partner of Operations and Recruitment at H&CO, Danay Ramirez oversees the financial management and operations of the firm, ensuring that the company’s everyday activities run smoothly.

She also lends her knowledge and experience in finance, accounting and sales to H&CO Staffing Advisors, an entity within the H&CO group, where she specializes in placing A-level candidates on both a permanent and contract basis. Danay’s ability to analyze and improve business procedures also allows her to help clients streamline their hiring processes and recruit more effectively in today’s candidate-driven market.

Fluent in both English and Spanish, Danay holds a bachelor’s degree in Business Administration and Finance from Florida International University, as well as a Graduate Certificate in Foundations of Accounting and Auditing and Master of Science degree in Taxation from the same university. Danay is also a Certified Public Accountant and a member of the AICPA.

Eduardo Carrillo is the Managing Partner of the Coral Gables office of H&CO. Prior to joining H&CO six years ago, Eduardo was an experienced tax manager for KPMG having worked in both the Los Angeles and Miami offices.

Since 2012, Eduardo has helped H&CO grow from a local accounting firm to a global provider of international professional services to multi-national families and enterprises. Eduardo focuses his practice on reducing the worldwide effective tax rate of domestic and global corporations. With that primary goal in mind, Eduardo works together with clients’ counsel to develop structures and solutions that minimize global taxation and facilitate global mobility for their clients.

Eduardo is licensed as a Certified Public Accountant in the States of California and Florida. He is originally from Lima, Peru but has lived in the United since 1993.

Guido Goicoechea is an MBA and Finance graduate from Northeastern University. He started his carrier in technology in 1992 at IBM; later, he became Microsoft’s first Territory Manager in Central America, based in Costa Rica. In 2002, he founded his technology company, Software and Consulting Group, and took on the CEO role; he became an SAP Gold Partner with a direct presence in Central and South America. In 2013 he was appointed as a Global Partner Member of SAP Business One Worldwide, where he is still a current member. In Costa Rica, he was chosen as a director of the Chamber of Commerce, Industry, and Technology boards for the past 15 years.

He has received many awards, such as Compaq Computer Awards for Sales; he also archived the number 1 SAP HANA Award Worldwide and Several Technology Innovation Awards from SAP Americas.

In 2020 he merged his company with H&CO to join forces to expand the business in Latam and USA. Currently, he is the Division Partner overseeing Operations for the technology Division.

Managing Partner of the Miami office, Michelle Gonzalez-Rubio leads a team of CPAs that provide accounting, tax and consulting services to both domestic and international companies.

A native of Miami, Michelle’s expertise focuses primarily on advising foreign clients immigrating to the U.S. and investing in real estate, manufacturing, import/export and other industries, the best structure to minimize their U.S. tax burden. Due to the growing international landscape of Miami, Michelle also specializes in crossborder tax planning and accounting advisory for foreign subsidiaries and pre-immigration tax planning. Being fluent in both English and Spanish, Michelle has developed a strong expertise in international tax.

Michelle is a Certified Public Account and a member of the AICPA. She holds a Master of Science in Taxation and two bachelor’s degrees – one in Accounting and another one in Finance – from Florida International University.

Luis holds a Bachelor of Engineering with a focus in Industrial Engineering and a Master’s in Business.

Nicole K. Cunningham is the Partner in charge of business development and relationship management.

Nicole oversees all marketing and business development activities, referrals and client relations. As a business development Partner, she works to improve the organization’s market position and achieve financial growth. She leads a team of business development professionals who are consistently researching and building new relationships with clients as well as local and international business professionals and organizations.

Nicole graduated from Florida state University with a bachelor’s degree International Business, and a specialization in Marketing and Public Relations.
